ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.On December 28, 2014, United Cannabis Corporation (the “Company”) executed a Royalty and Consulting Services Agreement with FoxBarry Farms, LLC, whereby FoxBarry will be the exclusive licensee and distributor of United Cannabis branded medical marijuana products in the state of California, which agreement is being filed herewith as Exhibit 10.1 and incorporated herein by reference.
