Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.On February 16, 2016, Vapor Corp. (the “Company”) notified the Listing Qualifications Staff (the “Staff”) of The NASDAQ Stock Market LLC (“Nasdaq”) that it is withdrawing its request to the Nasdaq Listing Qualifications Panel (the “Panel”) for an appeal of the delisting determination made by the Staff on January 22, 2016. As a result, the Company’s shares of common stock will be suspended from The Nasdaq Capital Market at the open of business on Wednesday, February 17, 2016. Nasdaq will file a Form 25 Notification of Delisting with the Securities Exchange Commission relating to the delisting of the Company’s common stock. The official delisting of the Company’s common stock will become effective ten days thereafter.

 

Item 8.01 Other EventsOn February 17, 2016, the Company issued a press release regarding the withdrawal of its request for an Appeal before the Panel regarding the Staff’s delisting determination. A copy of the press release is included as Exhibit 99.1 to this Form 8-K.
